Contract Policy

This page explains how we structure project agreements — from kickoff to delivery — so there are no surprises on either side once work begins.

How a Contract Starts

Every engagement — custom build, redesign, migration, or optimisation — begins with a written proposal or statement of work. This document sets out the scope, deliverables, timeline, and price before any work starts. No work begins until the proposal is agreed in writing and the initial deposit (where applicable) is received. Verbal or informal agreements are not treated as binding contracts.

Deposits & Payment Schedule

Most projects require a deposit before kickoff, with the balance split across agreed milestones (e.g. design approval, development complete, launch). The exact schedule is stated in your proposal. Invoices are due within 7 days of issue unless otherwise agreed. We reserve the right to pause work on outstanding invoices until payment is received.

Scope & Change Requests

The contract covers exactly what is listed in the agreed proposal — nothing more, nothing assumed. Anything outside that scope (extra pages, new features, additional revision rounds) is treated as a change request. Change requests are quoted separately before work on them begins. A change that materially alters scope, timeline, or complexity requires a revised, signed proposal.

Timelines & Client Responsibilities

Delivery timelines assume timely input from you — content, brand assets, feedback, and approvals. Delays on your side push the delivery date back by the same amount; they do not count against our delivery commitment. You're responsible for ensuring you have the rights to any material (images, copy, brand assets) you provide us for use in the project.

Cancellation & Termination

Either side can cancel a project with 14 days' written notice. On cancellation, you're invoiced for all work completed up to that point, and any prepaid amount for work not yet started is returned. We can terminate immediately if a contract is breached, invoices go unpaid, or communication becomes abusive.

Ownership & Delivery

Ownership of custom code and design deliverables transfers to you once the corresponding invoice is paid in full. Until then, all work remains our property. Reusable internal tools, snippets, and frameworks we bring into a project stay ours — you get an ongoing licence to use them as part of your store.
