This page covers how intellectual property rights are handled for custom development projects and template purchases, and Xydon’s rights to reference and display completed work.

Intellectual Property — Default Position

Upon receipt of full payment for a project, the client receives a licence to use, modify, and operate the final deliverables (the Shopify store, theme, or code we build) for their business purposes. By default, intellectual property in the work product is jointly owned by Xydon-Ecom and the client. This means: - The client owns and controls the final deliverable for their own use - Xydon retains rights to the underlying methodologies, frameworks, reusable components, and code patterns that form part of our development practice If a client requires full, exclusive IP assignment (transferring all rights to the client only), this must be negotiated and agreed upon in writing prior to project commencement, and may be subject to an additional fee.

Portfolio & Attribution Rights

Xydon reserves the right to: - Display completed work in our portfolio, case studies, social media, and marketing materials - Reference the client's name and/or brand in the context of work we have done - Claim credit for the design, development, and implementation of the project This right exists by default. The client cannot retroactively deny, revoke, or dispute Xydon's claim of having built or contributed to a piece of work. Xydon will exercise discretion and professionalism in how work is presented — we will not disclose confidential business information, internal metrics, or other sensitive data without written consent.

Confidentiality Opt-Out

If a client wishes to prevent Xydon from publicly displaying or referencing a specific project, this must be agreed in writing before the project begins as part of a Non-Disclosure Agreement (NDA) or confidentiality clause in the project contract. A retroactive request for confidentiality after project completion does not obligate Xydon to remove existing portfolio entries or case studies. Xydon will consider reasonable requests in good faith but is not bound to comply absent a prior written agreement.

Template Licences

Shopify themes and templates sold by Xydon are licensed — not sold — to the purchaser. Each template purchase grants a single-use licence for one Shopify store. You may not: - Resell, redistribute, or sublicense the template or its components - Use the template on more than one store per licence purchase - Remove or obscure any Xydon attribution in the template code (unless a white-label licence is purchased) For multi-store or agency licences, contact us at legal@xydon.in for custom terms.

Open Source Components

Some components used in our work incorporate open-source software. Where applicable, we comply with the relevant open-source licences (MIT, Apache 2.0, etc.). The use of open-source components does not affect the client's right to use the final deliverable.

Third-Party Assets

Clients are responsible for ensuring they hold valid licences for any third-party assets — including fonts, stock images, icons, and brand materials — provided to Xydon for incorporation into their project. Xydon will not knowingly use unlicensed assets, but assumes no liability for assets supplied by the client.

Disputes

Any dispute related to intellectual property rights under this policy shall first be addressed through good-faith negotiation. If unresolved, disputes are subject to the governing law and jurisdiction set out in our Terms of Service.

Summary

IP is shared by default. Xydon can always claim credit for work done. Confidentiality must be agreed before the project starts. Full IP assignment and white-label use are available on request.
