Terms of Service

These Terms of Service govern your relationship with Xydon-Ecom (“Xydon”, “we”, “us”) when you use our services or purchase our products. Please read them carefully.

Acceptance of Terms

By engaging Xydon-Ecom for any service, purchasing a template, or using our website, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, you represent that you have authority to do so.

Services

Xydon provides Shopify store development, theme customisation, platform migration, performance optimisation, and related digital commerce services ("Services"), as well as Shopify theme templates for purchase ("Products"). Scope, deliverables, timeline, and pricing for Services are defined in a separate project proposal or statement of work agreed upon in writing before work commences.

Payment

Services: Payment terms are specified in the project proposal. We typically require a deposit before work begins. Invoices are due within 7 days of issue unless otherwise agreed. Products (Templates): Payment is due at the time of purchase. All prices are inclusive of applicable taxes unless stated otherwise. Late payments may incur interest at 2% per month on the outstanding amount. We reserve the right to pause or withhold delivery of work until outstanding invoices are settled.

Client Responsibilities

You agree to: - Provide timely feedback, content, and access required for project delivery - Ensure you have rights to any materials (images, copy, brand assets) provided to us - Designate a primary point of contact with authority to approve decisions - Not hold Xydon liable for delays caused by your failure to provide required inputs on time

Revisions and Change Requests

The number of revision rounds included in a project is specified in the proposal. Additional revisions or change requests outside the agreed scope will be quoted separately and invoiced accordingly. A change request that materially alters the scope, timeline, or complexity of the project constitutes a new scope of work and requires a revised proposal.

Warranties and Limitation of Liability

We warrant that Services will be delivered with reasonable skill and care. We do not warrant that any Shopify store we build will achieve specific revenue, conversion, or traffic targets. To the maximum extent permitted by law, Xydon's total liability arising out of or related to these terms shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate a project engagement by giving 14 days' written notice. On termination, you will be invoiced for all work completed to date. Any prepaid fees for work not yet started will be refunded in accordance with our Refund Policy. We reserve the right to terminate immediately if you breach these terms, engage in abusive conduct, or fail to pay outstanding invoices.

Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of [City], India. We will first attempt to resolve disputes through good-faith negotiation before resorting to legal proceedings.

Changes to Terms

We may update these terms from time to time. Updated terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated terms.
